These Terms & Conditions (“Terms”) govern access to and use of the IA Near Me platform (InsuranceAgentsNearMe.com) by all users, including but not limited to insurance companies, MGAs, aggregators, wholesalers, surplus line brokers, insurance agents, agencies, individual professionals, consumers, administrators, and any other person or entity that accesses, registers for, uploads content to, or otherwise uses the platform (collectively, “Users”).

Regardless of user type or role, all Users are subject to the same content responsibility, AI-related disclaimers, limitations of liability, and indemnification obligations set forth in these Terms.

Any User that uploads any content to our platform retains full responsibility for all content/files — accuracy, compliance, authorization, and no harmful material. We do not verify or validate anything uploaded. We disclaim all liability (including to carriers), provide neutral hosting only, and process deletion requests promptly. Any AI-related processing (handled by a third-party contractor) carries no liability for IA Near Me — errors or faults rest with the contractor.

  1. Acceptance and Scope

    By claiming, registering, verifying, managing a profile, or uploading/editing content, you accept these Terms, general Terms of Service, and Privacy Policy. You further represent that you have authorization to bind yourself or the Company you represent.

    Supported types: Insurance Companies (including groups), Managing General Agents (MGAs), Aggregators, Wholesalers, Surplus Line Brokers (may change with notice).

  2. Registration, Claiming, and Verification

    Free; no paid plans currently. Verification via official email/phone or proof to [email protected]. Process to claim or verify:

    1. Companies may claim or register profiles on IA Near Me free of charge.
    2. Paid plans are not currently offered for Company Accounts.
    3. Verification may be completed via:
      • – The business email or phone number on record; or
      • – An authorized representative with verifiable ownership or permission.
    4. Email verification requires use of an official domain email (e.g., [email protected]).
    5. If the domain does not match our records, a signed authorization letter must be sent to [email protected] before verification proceeds.
    6. Once verified and a code is successfully entered, the Company Account becomes active and editable.

      The following are the types of companies supported on IA Near Me:

      1. Insurance Companies:
        • – Insurance Group of Companies (can add other insurance companies under them)
      2. Managing General Agents (MGAs)
      3. Aggregators
      4. Wholesalers
      5. Surplus Line Brokers

    Both 'Insurance Group of Companies' and 'Insurance Companies' are displayed under the same 'Insurance Companies' category on the platform, with differentiation based on their designated type. This list is subject to change.

  3. Company Profile Data, Accuracy, and Deletion Requests

    • Initial data from public records/sources; no guarantee of accuracy.
    • Deletion/Removal Requests: Any Company (including carriers) may request deletion, removal, or correction of profile data, listings, affiliations, Uploaded Content, or other information by emailing [email protected] from an official Company domain email. We acknowledge CPRA-eligible requests within 10 business days and aim to review/resolve within 45 calendar days (extendable if needed). Verified requests processed promptly, subject to legal retention requirements.
    • False/misleading info may lead to suspension/blocking/deletion/legal action.
  4. User-Generated Content & Uploads (Including Files)

    You (or your representatives, agents, agencies, admins, or affiliated parties) are solely, exclusively, and fully responsible for all content and files uploaded, posted, edited, or shared ("Uploaded Content"), including logos, info, locations, FAQs, news, blogs, guides, documents, media, review responses, and any other materials.

    By uploading or permitting Uploads, you represent and warrant that:

    1. The Uploaded Content is accurate, current, complete, and complies with all carrier policies, insurance regulations, state/federal laws, and industry standards.
    2. You (and any uploader) are fully authorized to upload, share, license, and distribute the Uploaded Content without infringing third-party rights.
    3. The Uploaded Content contains no malicious, harmful, illegal, defamatory, infringing, misleading, outdated, or inappropriate material — intentional or unintentional.

    You assume all risk and liability for errors, omissions, inaccuracies, non-compliance, or consequences from Uploaded Content.

    IA Near Me provides only neutral hosting and directory services. We do not verify, validate, review, monitor, edit, endorse, or assume any responsibility for the accuracy, currency, legality, compliance, safety, or quality of any Uploaded Content.

    No carrier, insurance company, or other entity may hold IA Near Me liable for any Uploaded Content — including claims, actions, damages, or losses — even if uploaded by their representatives, agents, employees, affiliates, or any party acting on their behalf.

  5. Disclaimers & Limitation of Liability

    • Profiles/features "as is" and "as available" without warranties (express or implied) of accuracy, availability, fitness, non-infringement, or merchantability.
    • No liability for public-sourced data inaccuracies, unauthorized claims, third-party actions, or any issues from Uploaded Content (including incorrect/misleading/outdated guides, compliance failures, quoting mistakes, underwriting decisions, operational errors, losses, claims, or harms).
    • Explicitly, zero liability to carriers or others for content uploaded by their representatives/agents — we disclaim all such claims to the maximum extent permitted by law.
    • AI Processing Disclaimer: Certain backend functions, including AI ingestion, processing, interpretation, summarization, or knowledge handling related to content or data on the Platform, are performed by a third-party contractor. IA Near Me does not perform or control any AI processing. Accordingly:
      • Any AI-processing errors, misinterpretations, inaccuracies in ingested knowledge, hallucinations, incomplete outputs, technical faults, data corruption, or other AI-related issues shall not be attributed to IA Near Me and do not create any liability for IA Near Me or Network Business Solutions Services, Inc.
      • The third-party contractor retains sole liability for any such AI-related technical faults, errors, failures, or consequences.
      • Carriers and other third parties are not intended third-party beneficiaries of these Terms and may not rely on uploaded content or AI outputs.
      • IA Near Me owns the platform and product logic. AI ingestion and processing are handled by third-party contractors, IA Near Me assumes no liability for third-party contractors, AI or related information.
    • Maximum liability of IA Near Me limited to $100 USD (or as required by law).
    • AI outputs are informational/workflow-assistive only and do not constitute underwriting guidance, eligibility determinations, pricing confirmation, or binding authority, and that users must independently verify with carriers
    • We reserve the right to modify, suspend, or discontinue any feature or service at any time without liability.
  6. Indemnification

    You agree to indemnify, defend, and hold harmless IA Near Me, Network Business Solutions Services, Inc., affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorney fees) arising from or related to:

    • Uploaded Content (including inaccuracies, non-compliance, infringement, harm, or carrier-related claims).
    • Unauthorized access/misuse of profile.
    • Violations of laws, carrier policies, or third-party rights.
    • Breach of these Terms (including representations in Section 4).
    • Any attempt to hold IA Near Me liable for AI-related issues handled by the third-party contractor.

    This includes defending against any legal action by a carrier or third party related to Uploaded Content or AI processing. Indemnification survives termination.

  7. Available Features for Verified Companies

    Manage business info, locations, content, future features (with notice).

  8. Suspension, Blocking, or Deletion

    At discretion for violations: Suspension/blocking (email notice), deletion (profile/data removed after 10 days; logs retained). Any administrative review, pausing, suspension, or removal of uploaded content does not constitute validation, approval, endorsement, or verification, and does not create a duty to monitor or police uploaded content

  9. Data Retention and Privacy

    Up to 3 years (or longer if required); see Privacy Policy for rights/details. You understand and agree that uploaded documents and files may be analyzed or processed using automated systems, including AI, to support platform features.

  10. Updates to These Terms

    Notified via email/Platform; continued use equals acceptance of existing and new terms.

  11. Governing Law and Dispute Resolution

    California law. Binding AAA arbitration (Consumer Rules if applicable) in California. No class actions. Exceptions: Injunctive/small claims relief. Prevailing party fees/costs if allowed.

  13. Payment For Services / Subscriptions

    By subscribing to any paid services, features, plans, or add-ons (including but not limited to agency plans, enhanced profiles, media/blog access, extra agent seats, or future offerings), you authorize IA Near Me (Network Business Solutions Services, Inc.) and our payment processor to charge your provided payment method (e.g., credit/debit card via Authorize.Net or similar) for all applicable fees, taxes, and charges. This includes:

    • Subscription Billing and Renewal. Your subscription begins upon successful processing of the initial payment and renews automatically at the end of each billing period (monthly or annually, as selected or applicable to your plan) at the then-current rate unless properly canceled in accordance with these Terms. You are responsible for maintaining valid, up-to-date payment information in your account.
    • Cancellation Timing and Effectiveness. You may cancel your subscription at any time by submitting a cancellation request through your account settings (e.g., Transaction or profile section) or by emailing [email protected] from the registered email associated with your account. Cancellation requests must be received at least thirty (30) days before the last day of your current billing period (for monthly plans) or before the renewal date (for annual plans) to prevent the next automatic renewal charge. Cancellation becomes effective at the end of the current paid billing period; access to paid features continues until that date, after which your account/profile reverts to the applicable free/basic tier (if any). Failure to provide timely notice results in automatic renewal and no entitlement to refund or credit for the subsequent period. Cancellation of a primary plan (e.g., Agency Plan) automatically cancels any associated add-ons (e.g., Extra Agent Seats).
    • Refund Policy - Non-Refundable Payments. All payments, including initial setup fees, monthly/annual subscription fees, add-on charges, and any discounts applied, are non-refundable once processed. No refunds, credits, or prorated amounts will be issued for partial billing periods, downgrades, non-use of features, or early cancellation. This applies even if access is suspended, terminated, or voluntarily canceled mid-period. Exceptions may apply only if required by applicable law (e.g., certain statutory cooling-off periods), at our sole discretion.
    • No Proration. Plan changes (upgrades, downgrades, or add-on modifications) take effect at the start of the next billing cycle. No prorated credits, refunds, or adjustments are provided for mid-period changes, partial use, or unused portions of the current billing period.
    • Suspension or Termination for Non-Payment. If any payment fails, is declined, is reversed, or is not received in full and on time (including due to expired/insufficient payment methods), we may, at our discretion and without prior notice: (i) attempt to re-charge an updated payment method; (ii) suspend access to paid features (reverting your profile/account to free/basic status); or (iii) terminate your account entirely. You remain liable for all outstanding amounts, including any failed payment fees or collection costs. Reinstatement may require payment of all arrears plus a reinstatement fee (if applicable).
    • Price Changes and Modification Rights. We reserve the right to modify subscription pricing, plan features, billing periods, or introduce new fees at any time. We will provide reasonable notice of material price increases or adverse changes (via email to your registered address, in-account notification, or platform posting) at least thirty (30) days in advance where practicable. Continued use of the service after the effective date of any change constitutes acceptance of the new terms/pricing. If you do not agree, your sole remedy is to cancel your subscription prior to the change taking effect.
    • Taxes Responsibility. All fees are exclusive of applicable taxes (including but not limited to sales tax, use tax, VAT, GST, or other governmental levies). You are solely responsible for any taxes imposed on your purchases or use of the services based on your location or jurisdiction. We will collect and remit taxes where required by law and add them to your invoice/charge; you agree to pay such taxes in full. You must provide accurate location/tax information if requested.
    • Billing Disputes and Chargebacks. If you believe a charge was made in error, contact [email protected] within thirty (30) days of the charge date with details (including transaction ID and explanation). We will review disputes in good faith but are not obligated to reverse charges. You agree not to initiate chargebacks, reversals, or disputes with your payment provider without first exhausting our internal resolution process. Unauthorized chargebacks may result in immediate account suspension/termination, liability for our costs (including fees and attorney fees), and potential referral to collections. All disputes regarding payments or these Terms are subject to Section 11 (Governing Law and Dispute Resolution).
